These Terms of Service ("Terms") govern your access to and use of GMB Copilot (the "Service"), operated by Eric ("we," "us," or "our") and available at gmbcopilot.com. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What the Service does
GMB Copilot is an approval-first automation tool for Google Business Profiles. It connects to Business Profiles you own or are authorized to manage, using Google OAuth, and helps draft posts, review replies, questions and answers, media, and business information updates. Proposed changes are presented for human review and are published to Google only after approval by an authorized operator, or by an auto-approve rule that the operator has explicitly configured.
2. Eligibility and authorization
- You must be at least 18 years old and able to enter into a binding agreement.
- You may only connect and manage Google Business Profiles that you own or are explicitly authorized by the owner to manage.
- You are responsible for obtaining any authorization required to respond to reviews, post answers or edit information on behalf of a business.
- You will not use the Service to access, harvest or act on listings you are not authorized to manage.
3. Your responsibilities
- Provide accurate information and keep your account credentials secure.
- Review proposed changes before approving them. You are responsible for content you approve for publication.
- Use the Service in compliance with all applicable laws and with Google's policies, including the Business Profile APIs policies and Google's content guidelines.
- Do not use the Service to generate fake or deceptive reviews, spam or misleading content, or to violate the rights of others.
4. Google Business Profile APIs
The Service relies on Google's Business Profile APIs and is subject to Google's terms and policies. Google may change, limit or discontinue its APIs at any time, which may affect the Service.
Certain actions are not possible through Google's APIs, including removing reviews, resolving profile suspensions and deleting customer uploaded photos. The Service cannot perform them, and we will not claim otherwise.
5. Data and privacy
Our handling of your data, including data accessed through the Google Business Profile APIs, is described in our Privacy Policy, which is incorporated into these Terms. Our use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements.
6. Disconnection and termination
You may disconnect any profile or stop using the Service at any time. You may also revoke access from your Google Account's third party access settings. We may suspend or terminate access if you violate these Terms or Google's policies, or as needed to protect the Service or its users. On termination, we handle your data as described in the Privacy Policy, and where the Service is used on behalf of a client, we will support disassociation of that client's account and removal of permissions within the timeframe required by Google's policies.
7. Availability and changes
The Service is provided on an ongoing basis but may experience downtime, maintenance or changes. We may modify or discontinue features at any time. We are an early stage product and functionality may evolve.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted or error free, or that automated drafts will be accurate or suitable for publication. You remain responsible for what you approve.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM, OR USD $100 IF YOU HAVE PAID NOTHING.
10. Indemnification
You agree to indemnify and hold us harmless from claims, damages and expenses arising from your use of the Service, your content, or your violation of these Terms or applicable law or third party rights.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, by additional notice. Continued use of the Service after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the United States and the state in which the operator is established, without regard to conflict of laws rules. Disputes will be resolved in the courts located there, unless applicable law requires otherwise.
